Terms and Conditions
Welcome to Starlight Studios! These terms and conditions ("Terms") govern your use of our video production services. By engaging our services, you agree to be bound by these Terms. Please read them carefully.
1. Agreement to Terms
By using the services provided by Starlight Studios, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these Terms, you should not use our services.
2. Services Provided
Starlight Studios provides comprehensive video production services, including but not limited to:
- Corporate Video Production: Training videos, promotional videos, internal communications.
- Marketing Video Production: Social media videos, explainer videos, product demos, commercials.
- Animation and Motion Graphics: Animated explainers, 3D visualizations, infographics.
- Post-Production Services: Editing, color correction, sound design, visual effects.
3. Project Scope and Changes
The scope of each video production project will be outlined in a separate project agreement. Any changes to the agreed-upon scope may result in additional fees and adjustments to the project timeline. All changes must be documented and approved in writing by both Starlight Studios and the client. We strive to provide accurate cost estimates and timelines, but unforeseen circumstances may require adjustments.
4. Payment Terms
Payment terms will be specified in the project agreement. Generally, we require an initial deposit before commencing work on the project. Subsequent payments will be due according to the milestones defined in the project agreement. Late payments may be subject to interest charges. Starlight Studios reserves the right to suspend or terminate services in the event of non-payment.
5. Intellectual Property
Unless otherwise agreed upon in writing, Starlight Studios retains ownership of all original video footage, audio recordings, and other creative materials produced during the project. Upon full payment, the client will receive a license to use the final video for the purposes specified in the project agreement. The client may not sublicense, resell, or otherwise distribute the video without the express written consent of Starlight Studios. Starlight Studios reserves the right to use the final video for promotional purposes, unless otherwise agreed upon.
6. Client Responsibilities
The client is responsible for providing all necessary information, materials, and approvals required for the successful completion of the project. This includes but is not limited to providing accurate script content, securing necessary permits and licenses, and obtaining releases from talent and locations. The client is also responsible for reviewing and approving deliverables in a timely manner. Delays caused by the client may result in adjustments to the project timeline and additional fees.
7. Confidentiality
Starlight Studios agrees to keep confidential all information provided by the client that is designated as confidential. We will not disclose confidential information to any third party without the client's prior written consent, except as required by law. This obligation of confidentiality will continue even after the termination of the project agreement.
8. Termination
Either party may terminate the project agreement upon written notice if the other party breaches a material term of the agreement and fails to cure the breach within a reasonable period. Starlight Studios may also terminate the agreement if the client fails to make timely payments or engages in conduct that is detrimental to Starlight Studios' reputation. In the event of termination, the client will be responsible for paying for all services rendered up to the date of termination.
9. Warranties and Disclaimers
Starlight Studios warrants that the video production services will be performed in a professional and workmanlike manner. However, we make no warranties, express or implied, regarding the results or outcomes of the video. The client acknowledges that the success of the video depends on various factors beyond Starlight Studios' control, including market conditions, audience reception, and the client's marketing efforts. Starlight Studios is not liable for any indirect, incidental, or consequential damages arising out of or in connection with the video production services.
10. Limitation of Liability
In no event shall Starlight Studios' liability exceed the total amount paid by the client for the video production services. Starlight Studios is not liable for any loss of profits, loss of business, or other economic damages. The client agrees to indemnify and hold Starlight Studios harmless from any claims, damages, or liabilities arising out of the client's use of the video or the client's breach of these Terms.
11. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any disputes arising out of or in connection with these Terms shall be resolved in the state or federal courts located in Los Angeles County, California.
12. Amendments
Starlight Studios reserves the right to amend these Terms and Conditions at any time. Any changes will be posted on our website and will be effective immediately upon posting. Your continued use of our services after the posting of any changes constitutes your acceptance of the revised Terms.

14. Entire Agreement
These Terms and Conditions, together with the project agreement, constitute the entire agreement between Starlight Studios and the client with respect to the video production services. These Terms supersede all prior or contemporaneous communications and proposals, whether oral or written, between the parties.
15. Severability
If any provision of these Terms and Conditions is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision that comes closest to expressing the intention of the original provision.
16. Force Majeure
Starlight Studios shall not be liable for any delay or failure to perform its obligations under these Terms and Conditions if the delay or failure is due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, strikes, lockouts, or other labor disturbances, riots, civil commotions, fire, flood, earthquake, or other natural disasters.
These Terms and Conditions are effective as of January 1, 2025.
